Welcome to Bonus Round ("the Platform", "the App"). These Terms and Conditions ("Terms") govern your access to and use of Bonus Round and its services.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

1. About Bonus Round

Bonus Round is a digital platform that gives eligible users access to a spending limit for food, drinks, and fuel purchased from participating merchants, with repayment due at a later date ("Buy Now, Pay Later" or "BNPL").

Bonus Round is a technology platform. Unless expressly stated otherwise, it is not itself a licensed bank or deposit-taking institution. Any credit, spending limit, or repayment plan made available to you may be provided directly by Bonus Round or facilitated through a licensed third-party lending or payment partner, as disclosed to you at the time of registration or transaction.

2. Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into binding agreements under the laws of your jurisdiction to use the Platform.

By using the Platform, you represent and warrant that the information you provide is accurate, current, and complete.

3. Nature of the Platform

Bonus Round does not manufacture, sell, prepare, or deliver any food, drink, or fuel product directly. It does not employ, supervise, endorse, or guarantee the conduct, quality, or performance of any merchant, restaurant, bar, fuel station, or other third party listed or featured on the Platform ("Merchants").

All goods and services purchased through the Platform are provided solely by independent Merchants. Users are solely responsible for exercising their own judgment before purchasing from, or transacting with, any Merchant.

4. User Responsibilities

Users agree to:

1. Use the Platform only for lawful purposes.
2. Provide accurate and up-to-date information.
3. Keep their account credentials, PIN, and device secure.
4. Repay any amount owed under a spending limit or repayment plan in full and on time.
5. Exercise reasonable care and judgment before purchasing from any Merchant.
6. Comply with all applicable laws and regulations, including the legal drinking age where alcohol is purchased through the Platform.

Users shall not rely exclusively on information published on the Platform when making purchasing or financial decisions.

5. Prohibited Conduct

Users shall not:

1. Use the Platform for fraudulent, illegal, deceptive, or harmful activities.
2. Impersonate any individual or organization, or provide false identity or payment information.
3. Upload or submit false, misleading, defamatory, or offensive content.
4. Violate any intellectual property right.
5. Attempt to hack, interfere with, disrupt, reverse-engineer, or compromise the Platform.
6. Use the Platform to distribute malware, viruses, or malicious code.
7. Harass, threaten, intimidate, or abuse other users, Merchants, or staff.
8. Use the Platform for money laundering, theft, or any other criminal activity.
9. Open or use multiple accounts to obtain spending limits beyond what has been approved.

Bonus Round reserves the right to suspend or terminate accounts engaged in prohibited conduct, and to report such conduct to law enforcement or regulators where required.

6. No Guarantee

Bonus Round does not guarantee:

1. The identity, conduct, or reliability of any user or Merchant.
2. The quality, safety, legality, or suitability of any goods or services purchased through the Platform.
3. The accuracy of information provided by users or Merchants.
4. The availability of any Merchant, product, or spending limit at any given time.
5. Continuous, uninterrupted, or error-free access to the Platform.

The Platform makes no warranties, express or implied, regarding any goods, services, or transactions facilitated through it.

7. Spending Limit, Repayment and Fees

1. Your available spending limit is determined by Bonus Round (or its lending partner) using eligibility and risk criteria that may change at any time without prior notice.
2. Repayment terms, due dates, and any applicable fees or charges for late or missed payments will be disclosed to you within the App before you confirm a transaction. Where advertised as "zero interest," this applies only where repayment is made in full by the stated due date; late payment fees, penalty charges, or default interest may apply thereafter, as disclosed at the time.
3. Failure to repay on time may result in restricted access to the App, referral to a debt collection process, reporting to credit reference bureaus where applicable, and other consequences permitted by law and disclosed in your repayment agreement.
4. You authorize Bonus Round (or its lending or payment partner) to attempt to collect amounts owed using the payment method(s) linked to your account.

8. Payments and Merchant Transactions

Any payments, quotations, receipts, or arrangements between users and Merchants are solely between those parties unless expressly stated otherwise.

Bonus Round shall not be responsible for:

1. Non-delivery, overcharging, or defective goods or services.
2. Fraud, theft, or misappropriation by a Merchant or another user.
3. Delays, order errors, or disputes arising from a Merchant transaction.
4. Price changes, promotions, or availability at any Merchant.

Users assume all risks associated with transactions conducted through the Platform.

9. Limitation of Liability

To the fullest extent permitted by law, Bonus Round, its owners, developers, employees, affiliates, partners, and representatives shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from:

1. Theft, fraud, or criminal conduct by a user, Merchant, or third party.
2. Personal injury, death, or property damage connected to a Merchant's goods or services (including food, drink, or fuel quality or safety).
3. Financial losses, including losses connected to your use of a spending limit or repayment plan.
4. Data loss or unauthorized access not caused by our gross negligence or willful misconduct.
5. Service interruptions, delays, or errors on the Platform.
6. Any dispute between users and Merchants, or between users.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total fees paid by you to Bonus Round in the six (6) months preceding the claim, or (b) [Insert nominal amount, e.g., UGX 100,000].

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, OR ANY STATUTORY CONSUMER PROTECTION RIGHTS THAT APPLY TO YOU AS A CONSUMER.

Users access and use the Platform entirely at their own risk.

10. Indemnification

Users agree to indemnify, defend, and hold harmless Bonus Round, its owners, developers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, and legal expenses arising from:

1. Their use of the Platform.
2. Their violation of these Terms.
3. Their interactions with other users or Merchants.
4. Any unlawful, negligent, or fraudulent activity connected to their account.

11. Data Protection and Privacy

Bonus Round is committed to protecting user data and implementing reasonable security measures. However, no digital platform can guarantee absolute security.

By using the Platform, users acknowledge and agree that:

1. Information submitted may be stored and processed electronically, including by third-party lending or payment partners where necessary to provide the Service.
2. The Platform may collect personal and technical information necessary for operation, credit assessment, and improvement of the Service.
3. Users are responsible for safeguarding their account credentials.
4. Bonus Round shall not be liable for unauthorized access caused by user negligence, third-party cyberattacks, or circumstances beyond its reasonable control.

Users consent to the collection, storage, and processing of data in accordance with the Platform's Privacy Policy and the Uganda Data Protection and Privacy Act, 2019.

12. Intellectual Property

All trademarks, logos, software, text, graphics, designs, and content on the Platform are the property of Bonus Round or its licensors. Users may not reproduce, distribute, modify, sell, or exploit any content without prior written consent.

13. Monitoring and Enforcement

Bonus Round reserves the right, but is under no obligation, to:

1. Monitor user activity and transactions.
2. Investigate suspected violations of these Terms.
3. Remove content or restrict features.
4. Suspend or terminate accounts.
5. Cooperate with law enforcement or regulatory authorities where required by law.

14. Account Suspension and Termination

The Platform may suspend or terminate any account, without notice, where it reasonably believes that a user has:

1. Violated these Terms.
2. Engaged in illegal or fraudulent activity.
3. Misused the Platform or a spending limit.
4. Failed to repay amounts owed.
5. Threatened the safety or rights of others.

Any outstanding repayment obligations will survive suspension or termination and remain due and payable.

15. Third-Party Services and Links

The Platform may contain links to, or integrations with, third-party websites, services, Merchants, or payment providers. Bonus Round does not control, endorse, or assume responsibility for any third-party service.

16. Disclaimer

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind.

Bonus Round disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.

Nothing on the Platform constitutes financial, legal, or professional advice from Bonus Round.

17. Amendments

Bonus Round reserves the right to modify these Terms at any time. Continued use of the Platform after changes have been published constitutes acceptance of the revised Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any dispute arising from the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Uganda, or to arbitration in Kampala, Uganda, as Bonus Round may elect.
